- "Service" — refers to the advisory and consulting services offered by Sungai Method, including Supply Chain Advisory, Logistics Operations Consultation, and Distribution Network Review.
- "Website" — refers to the web presence maintained at our registered domain, including all associated pages and content.
- "User" — refers to any person or organization visiting our Website or engaging with our Services.
- "Client" — refers to any organization or individual who formally engages Sungai Method for a consulting service.
- "Agreement" — refers to these Terms & Conditions, together with any engagement letter or service agreement entered into between Sungai Method and a Client.
- "Content" — refers to all text, reports, frameworks, materials, and documentation produced by Sungai Method in connection with a Service engagement.
2. Acceptance of Terms
By accessing our Website or submitting an inquiry, you indicate that you have read these Terms and are comfortable proceeding on this basis. Formal engagement of our Services constitutes full acceptance of this Agreement.
To engage our Services directly, you must be at least 18 years of age and have authority to enter into agreements on behalf of any organization you represent. We may ask for confirmation of this where relevant.
If you do not agree with any part of these Terms, we would encourage you to contact us before proceeding, so we can address any concerns.
3. Service Description
Sungai Method provides professional consulting services to Malaysian businesses in the areas of supply chain, logistics operations, and distribution network management. Our Services are advisory in nature — we share frameworks, observations, and considered recommendations drawn from our experience working in Malaysian commercial contexts.
Our Services are available to businesses operating in Malaysia, with specific engagements designed for Peninsular Malaysia, Sabah, and Sarawak contexts where applicable. Service availability is subject to our capacity at the time of inquiry.
Each engagement is scoped and structured through a formal service agreement. The scope, duration, deliverables, and fees for each engagement are documented in that agreement, which forms part of this overall Agreement.
4. User Responsibilities
When using our Website or engaging our Services, you agree to:
- Provide accurate and complete information when submitting inquiries or entering into engagement
- Use our Website and its content only for lawful purposes
- Respect the confidentiality of any materials or frameworks shared during an engagement
- Not attempt to reverse-engineer, reproduce, or distribute proprietary materials provided as part of a Service
- Not use our Website in any manner that could impair its functionality or availability to others
- Not submit misleading information or misrepresent your organization's nature or size
We appreciate that most engagements involve sensitive commercial information. We expect the same care in return for materials and observations we share during our work together.
5. Intellectual Property
All materials, frameworks, methodologies, templates, and written content developed by Sungai Method — whether on the Website or delivered during a Service engagement — remain the intellectual property of Sungai Method unless otherwise expressly agreed in writing.
Upon completion of a paid engagement, Clients receive a limited, non-exclusive licence to use the deliverables produced for their internal business purposes. This licence does not extend to commercial resale, redistribution, or use in advisory or consulting contexts.
General methodologies and frameworks used across multiple engagements remain the property of Sungai Method, even where they are adapted for a specific Client context. Specific reports and written analyses produced for your engagement are yours to use within your organization.
6. Payment Terms
All fees for Sungai Method Services are quoted and payable in Malaysian Ringgit (MYR). Current engagement fees are as follows:
- Supply Chain Advisory: MYR 2,890
- Logistics Operations Consultation: MYR 2,180
- Distribution Network Review: MYR 510
Payment schedules and methods are agreed at the point of engagement. Typically, a portion is payable at the commencement of an engagement, with the balance due upon delivery of the final report or agreed milestone.
Where an engagement is discontinued at the Client's request after work has commenced, fees corresponding to work completed up to that point remain payable. We will provide a clear account of work completed.
We will always discuss fees openly before any commitment is made. There are no hidden charges or escalation fees beyond the agreed scope.
7. Engagement Terms
Each consulting engagement is governed by a formal service agreement agreed between Sungai Method and the Client. That agreement will set out the specific scope, timeline, deliverables, and any particular conditions relevant to your engagement.
Engagement timelines are indicative. While we work to the scheduled durations, the nature of advisory work means that some flexibility may be required — for instance, if additional stakeholder conversations are needed or if findings require deeper examination. We will communicate any significant timeline adjustments promptly.
Scope changes requested by the Client after an engagement has commenced will be assessed and, where necessary, reflected in a revised agreement.
8. Confidentiality
Both parties recognize that consulting engagements involve the exchange of commercially sensitive information. Sungai Method treats all information shared by Clients during an engagement as confidential and will not disclose it to third parties without consent, except where required by law.
Similarly, we ask Clients to treat any proprietary frameworks, methodologies, or unpublished observations shared during an engagement with appropriate care. The specific terms of confidentiality for each engagement are typically documented in the service agreement.
9. Disclaimers
Our Services are advisory in nature. Observations and recommendations we provide reflect our considered professional perspective based on the information available during an engagement. They do not constitute legal, financial, or regulatory advice, and should not be relied upon as such.
Business outcomes depend on many factors beyond the scope of any advisory engagement. We do not represent that implementing our recommendations will produce specific commercial results.
Our Website is provided in good faith and we work to keep it accurate and up to date. However, we make no representations about the completeness or timeliness of information on the Website, which is for general information purposes only.
10. Limitation of Liability
To the extent permitted by Malaysian law, Sungai Method's total liability to any Client or User arising from any engagement or use of our Website shall not exceed the fees paid by that Client for the relevant engagement, or MYR 500 in the case of Website use where no engagement has been entered into.
We are not liable for indirect, consequential, or incidental losses arising from reliance on our advice or from use of our Website, including but not limited to loss of profit, loss of business opportunity, or loss of data.
These limitations do not apply in cases of fraud, willful misconduct, or where limitation is not permitted under applicable Malaysian law.
11. Indemnification
You agree to indemnify and hold harmless Sungai Method, its principals, and any associated personnel from any claims, losses, or costs (including reasonable legal fees) arising from your misuse of our Website, any breach of these Terms, or any misrepresentation made in the course of an engagement. This applies to the extent that such claims arise from your conduct or actions, not from any act or omission on our part.
12. Termination
Either party may withdraw from an engagement by written notice where the other party has materially breached the terms of the service agreement and has not remedied that breach within a reasonable period after being notified of it.
Sungai Method reserves the right to discontinue Website access to any User engaging in conduct that is harmful, unlawful, or contrary to these Terms.
Upon termination of an engagement, provisions relating to intellectual property, confidentiality, payment for work completed, and limitation of liability continue in effect.
13. Dispute Resolution
These Terms and any disputes arising from them are governed by the laws of Malaysia. The courts of Malaysia shall have jurisdiction over any disputes not resolved informally.
We encourage both parties to first attempt informal resolution — most concerns can be addressed through direct conversation. If a dispute cannot be resolved informally within 30 days of it being raised, either party may refer the matter to mediation through an appropriate Malaysian dispute resolution body before initiating formal legal proceedings.
Nothing in this clause prevents either party from seeking urgent interim relief from a competent court where circumstances require it.
14. General Provisions
- Entire Agreement: These Terms, together with any applicable service agreement, constitute the full agreement between the parties regarding the matters covered.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any provision on a given occasion does not constitute a waiver of that provision going forward.
- Assignment: Clients may not assign their rights or obligations under a service agreement without our prior written consent. We may assign our obligations to a suitably qualified successor.
- Notices: Formal notices under these Terms should be sent in writing to our registered address or to [email protected].
15. Changes to Terms
We may update these Terms from time to time to reflect changes in our services, legal requirements, or operational practices. When we do, we will update the "Last Updated" date at the top of this page.
Continued use of our Website or Services after a change has been published constitutes acceptance of the revised Terms. We recommend reviewing this page periodically. For active engagements, material changes will be communicated directly.
